TERMS OF SERVICE
Effective date: 25 October 2026
These Terms of Service govern access to and use of the MUZA Trading Academy website at https://muzacapital.store and its courses, assessments, simulator, AI tutor and related services (together, the “Academy”).
1. Contracting party and contact
1.1 Your contract is with Muza Technologies, 50 Long Street, Cape Town, 8000, South Africa, registration number (to be confirmed).
1.2 “MUZA Capital” and “MUZA Trading Academy” are brand names used by Muza Technologies. References in these Terms to “MUZA Capital,” “MUZA Trading Academy,” “we,” “us” or “our” mean Muza Technologies.
1.3 You may contact customer support at support@muzacapital.store. Formal legal notices should be sent to postmaster@muzacapital.store and to the physical address in clause 1.1.
2. Eligibility and availability
2.1 You must be at least 18 years old and legally able to enter into a contract to use the Academy.
2.2 You may not use the Academy if doing so would violate sanctions, embargoes, export controls or other laws applicable to you or to us. The Academy is not available in countries or territories that we are legally prohibited from serving.
2.3 We may use reasonable checks to confirm eligibility, prevent fraud and comply with law. We may refuse or restrict access where reasonably necessary for those purposes.
2.4 The Academy is offered internationally, but not every feature may be lawful or available in every country. Nothing in these Terms excludes mandatory consumer rights that apply where you live.
3. The Academy
3.1 A subscription provides access to an online trading-education product that currently includes:
(a) 12 written modules, M0 to M11;
(b) per-lesson knowledge checks and mastery assessments;
(c) a market simulator using virtual money only; and
(d) an AI tutor that teaches, quizzes and explains course material.
3.2 The simulator cannot place real trades, access a real trading account or withdraw real money. All balances, orders, profits and losses displayed in the simulator are virtual.
3.3 The AI tutor is designed to withhold responses that appear to be personal buy or sell recommendations. Automated controls may not identify every unsuitable request or response. You must not rely on an AI response as a personal recommendation or as professional advice.
3.4 We may update course materials, assessments, simulator functionality and AI tutor features to maintain, improve or secure the Academy. We will not materially reduce the core service during a paid period without a legitimate reason and any notice required by applicable law.
4. Education only
4.1 The Academy provides general education. It does not provide investment, financial, brokerage, legal, accounting or tax advice, and it does not assess whether any investment, strategy or transaction is suitable for you.
4.2 Nothing in the Academy is an offer, solicitation or recommendation to buy, sell or hold an asset or to use a particular broker, exchange or trading strategy.
4.3 Trading involves a substantial risk of loss. Simulated performance and examples do not predict results in real markets.
4.4 We do not promise employment, income, profits, funding, trading capital, selection or any other commercial outcome.
4.5 Buying this does not give you a place, priority or advantage at any trading firm.
5. Subscription, price and payment
5.1 The subscription price is USD 250 per month, unless a different price is clearly shown and accepted at checkout.
5.2 Your subscription begins when payment is confirmed. It renews automatically on the monthly anniversary of that date only while you keep the subscription active.
5.3 Available payment methods may include USDT or mzUSDT. Card payments may be introduced later. Your payment provider, wallet provider or blockchain network may charge separate fees for which we are not responsible.
5.4 Prices shown in USD may be collected in an equivalent supported payment asset. The checkout page must disclose the applicable amount, conversion basis and network before you confirm payment.
5.5 We may change the subscription price by giving at least 30 days’ notice. A new price applies only to a renewal occurring after that notice period. If you do not accept the new price, you may cancel before it takes effect.
5.6 Taxes will be handled as shown at checkout and as required by applicable law. The treatment of VAT, GST and similar taxes is (to be confirmed).
6. Renewal, cancellation and non-payment
6.1 You may cancel at any time through the account page.
6.2 Cancellation stops future renewal charges. Unless applicable law requires otherwise, you retain access until the end of the period already paid for.
6.3 Deleting an account is not a substitute for cancelling a subscription. If technically possible, the account-deletion process will require cancellation or clearly explain its effect on billing before deletion is completed.
6.4 If a payment fails, our billing system may retry it and send payment reminders. We may suspend access for non-payment after reasonable retry attempts and notice. We will not collect subscription fees for periods after cancellation takes effect.
6.5 Except where the Refund & Cancellation Policy or applicable law requires otherwise, payments are final and non-refundable after access begins. Before payment, you must expressly request immediate supply and acknowledge its effect on any cooling-off or withdrawal right. This clause does not exclude or restrict mandatory rights or remedies, including remedies for duplicate charges, charges after effective cancellation, failure to supply, or a service that is not as described or otherwise fails mandatory conformity requirements. The Refund & Cancellation Policy forms part of these Terms.
7. Accounts and security
7.1 You must provide accurate information, keep your login credentials secure and promptly notify support@muzacapital.store if you suspect unauthorized use.
7.2 An account is personal to the registered customer. You may not sell, transfer, share or allow another person to use it.
7.3 You are responsible for activity through your account unless it results from our failure to use reasonable security or from circumstances for which applicable law makes us responsible.
8. Acceptable use
8.1 You must not:
(a) use the Academy unlawfully or to evade sanctions or regulatory restrictions;
(b) share, resell, sublicense or commercially distribute Academy content;
(c) copy, scrape, download or reproduce substantial parts of the Academy except through functions we provide or as permitted by law;
(d) reverse engineer, interfere with, probe or circumvent the security, access controls, recommendation filters or technical limits of the Academy;
(e) use bots or automated tools that impose an unreasonable load on the service;
(f) upload malware or content that infringes another person’s rights;
(g) impersonate another person or misrepresent assessment results;
(h) use the AI tutor to generate personal trading instructions, unlawful material or content that violates another person’s rights; or
(i) use Academy content or AI tutor outputs to train or develop a competing model or service, except where applicable law does not permit that restriction.
8.2 Fair quotation, private study and other uses protected by mandatory law are not restricted.
9. Intellectual property and licence
9.1 The Academy software, course materials, assessments, graphics and other content are owned by or licensed to MUZA Capital. No ownership rights pass to you.
9.2 While your subscription is active, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Academy for your own non-commercial education.
9.3 The licence ends when your access ends, except that any content lawfully downloaded through a feature we provide may remain usable subject to these Terms and applicable law.
9.4 You retain ownership of material you submit. You grant us a limited licence to host, process and transmit it only as reasonably necessary to operate, secure and improve the Academy and meet our legal obligations.
10. AI tutor
10.1 AI tutor responses are automatically generated and may be incomplete, inaccurate or unsuitable. You should check important information independently.
10.2 The tutor is intended to explain educational material and does not know your complete financial circumstances. It must not be used for personal investment recommendations, transaction instructions or decisions about real money.
10.3 AI tutor conversations are processed as described in the Privacy Notice, including by a third-party AI model provider.
11. Suspension and termination
11.1 We may suspend or terminate access where reasonably necessary because of:
(a) non-payment after retries;
(b) a material or repeated breach of these Terms;
(c) fraud, abuse or a security threat;
(d) sanctions or another legal requirement; or
(e) discontinuation of the Academy.
11.2 Except where urgent action is necessary to prevent harm or comply with law, we will provide reasonable notice and an opportunity to remedy a remediable breach.
11.3 If we discontinue the Academy or terminate a subscription without customer fault, we will provide any refund required by applicable law and, as a contractual minimum, a pro-rata refund or equivalent credit for paid access that we do not provide.
12. Service availability
12.1 We aim to keep the Academy available, but uninterrupted or error-free access is not guaranteed. Maintenance, security events, internet failures, blockchain congestion and third-party service failures may affect availability.
12.2 Nothing in these Terms limits rights relating to digital content or services that cannot lawfully be excluded.
13. Liability
13.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence where applicable law prohibits such a limitation.
13.2 Subject to clause 13.1, we are responsible for losses that are a reasonably foreseeable result of our breach of these Terms or failure to use reasonable care and skill.
13.3 We are not responsible for:
(a) trading, investment or financial losses arising from decisions made using educational materials, simulator activity or AI tutor responses;
(b) losses caused by a customer’s breach, unlawful conduct or failure to secure an account or wallet;
(c) failures outside our reasonable control; or
(d) business losses incurred by a consumer using the Academy for a commercial purpose.
13.4 Subject to clause 13.1 and any mandatory consumer law, our aggregate liability arising from the Academy will not exceed the subscription fees you paid during the 12 months preceding the event giving rise to the claim.
13.5 The limitations in this clause apply only to the extent permitted by the law governing the customer’s contract. They do not reduce mandatory remedies available to consumers.
14. Privacy
We process personal data as described in the Privacy Notice. That notice explains the information we collect, why we use it, when it is sent to service providers, and the choices available to you.
15. Changes to these Terms
15.1 We may amend these Terms for legal, security, operational or service-related reasons.
15.2 We will give reasonable advance notice of a material change. If a change materially disadvantages you, it will normally apply from your next renewal, and you may cancel before it takes effect.
15.3 A change required urgently by law or to address a serious security risk may take effect sooner, with notice where reasonably possible.
16. Governing law and disputes
16.1 These Terms and any non-contractual dispute arising from them are governed by the laws of South Africa.
16.2 If you are a consumer, the choice of South African law does not deprive you of any mandatory protection provided by the law that would apply in the absence of this choice, including any non-waivable protection under the law of your habitual residence.
16.3 A court or other competent body with jurisdiction under applicable consumer law may hear a dispute. Nothing in these Terms requires a consumer to bring proceedings exclusively in South Africa where such a requirement would be unlawful or unenforceable.
16.4 Before beginning formal proceedings, you and Muza Technologies are encouraged to contact one another and attempt to resolve the dispute. This clause does not suspend a limitation period or restrict either party’s right to seek a remedy or urgent relief.
17. General terms
17.1 If a provision is unenforceable, the remaining provisions continue to apply, and the affected provision will apply to the maximum extent permitted by law.
17.2 A delay in enforcing a right does not waive that right.
17.3 We may use service providers to perform our obligations, but remain responsible where applicable law so provides.
17.4 You may not transfer your contract without our consent. We may transfer it only to a successor or affiliated operator capable of performing it, after giving required notice and without reducing your mandatory rights.
17.5 These Terms, the Refund & Cancellation Policy and any checkout terms accepted by you form the agreement for the subscription.
